Before leasing a strata industrial unit in Selangor, verify parcel boundaries, shared loading access, by-laws, management records and repair responsibility.
Draw the legal line around the leased parcel
A strata industrial unit can look self-contained while the operation depends on property that is controlled collectively. The roller shutter may sit inside the leased parcel, but the truck ramp, loading court, roof, fire installations, service risers, drains or parking bays may be common property or accessory parcels. That distinction decides who may approve changes, who must maintain a failed shared component and whether the landlord can promise exclusive use. Treat the physical viewing as the start of the boundary check, not as proof of control.
The Department of Director General of Lands and Mines explains that a strata scheme contains individual parcels and common property, with common property being the parts outside individual and accessory parcels. For a live transaction, the controlling evidence is the scheme’s own strata title and certified plan. If strata titles have not yet been issued, obtain the filed schedule of parcels and confirm the current management phase. A marketing floor plan or a painted line on concrete is not a substitute for either document.
- Strata title and certified strata plan, or the filed schedule of parcels if title has not been issued
- Plan showing the leased parcel, every accessory parcel and the share units attached to it
- Written identification of ramps, loading bays, parking, roof areas and service routes as parcel, accessory parcel, common property or limited common property
- Landlord’s authority to lease the parcel and any separate right proposed for an accessory parcel
- Management-body confirmation of any exclusive-use arrangement or special privilege over shared property
Factory King’s operator screen is to colour-code every space used by the proposed workflow: legally controlled by the landlord, shared but available under by-laws, or unverified. Follow an inbound pallet from the public road to the storage position and an outbound load back to the gate. Any unverified hand-off becomes a transaction question. This is operating guidance, not a legal boundary opinion; the appointed lawyer and surveyor should confirm the documents for the specific scheme.
Name the body that controls every shared route
KPKT’s strata handbook expressly includes industrial developments and shows a management cycle that changes with the scheme’s title status. Before strata title, the developer or Joint Management Body may manage the common property. After the strata register is opened, the Management Corporation, or a Subsidiary Management Corporation for limited common property, may take control. Ask for the body’s exact legal name and evidence of its current role. A signboard carrying a manager’s trading name does not by itself establish authority.
The same handbook places maintenance and sinking-fund accounts, audit, charge setting, by-law enforcement, insurance, authority notices and the parcel-owner register within the management framework. For an occupier, those are not abstract governance matters. They determine whether the ramp is repaired, the barrier is operated, shared fire systems are serviced and a major job can be funded. Obtain records through the landlord where only a proprietor is entitled to request them, and record which answers came from management rather than the leasing agent.
- Current developer, JMB, MC or Sub-MC name, registration evidence and correspondence address
- Managing agent appointment, scope and person authorised to give operational confirmations
- Latest available AGM minutes, committee list and resolutions affecting industrial use
- Current charges, sinking-fund contribution and any approved special levy relevant to the parcel
- Written management response on the proposed truck route, loading arrangement, access hours and fit-out approval path
An inactive committee or slow repair history does not automatically make the unit unsuitable. It changes the risk allocation. Ask who can release emergency funds, who holds service contracts and how an urgent ramp, gate or shared electrical failure is escalated. If no one can answer with records, price the interruption risk conservatively and make satisfactory management evidence a condition of commitment. That conclusion is Factory King operator analysis, not a statement that the scheme breaches the Act.
Stress-test by-laws against the warehouse workflow
The federal Strata Management Regulations make the prescribed by-laws and any additional by-laws binding on a lessee, tenant or occupier, not only on parcel owners and the management body. The lease therefore cannot safely be read alone. Obtain the Third Schedule rules, every registered or adopted additional by-law, relevant house rules and later resolutions. Require the landlord to identify any conflict before signing, because a private promise cannot guarantee that management will ignore a binding scheme rule.
The prescribed rules address security identification, obstruction of common property, fire-safety equipment, unauthorised activities, encroachment, storage on common property and vehicle parking. An industrial scheme may add practical rules for gates, loading bookings, vehicle size, contractor access, noisy work or fit-out. Do not assume those extra controls exist; request the current version. Then compare each rule with actual deliveries, shift changes, staff parking, waste collection, emergency access and maintenance work.
- Largest and most frequent truck type, turning path, ramp clearance and safe passing points
- Gate and loading access across every required shift, weekend and public-holiday window
- Whether a bay is exclusive, accessory property, bookable common property or simply first come, first served
- Barrier, access-card and visitor procedures for drivers, contractors and after-hours maintenance
- Rules for pallets, cages, forklifts, charging, waste and temporary staging outside the parcel
- Approval route for signs, shutters, exhausts, cable trays, roof equipment and any façade change
Run a witnessed route test during a realistic operating window and retain a dated note of queues, pinch points and management answers. This is a transaction-control recommendation, not an engineering certification. Separately verify planning, building, fire, environmental and business approvals with the relevant professionals and authorities. Management consent to use a shared loading bay does not prove that the parcel’s approved use or the occupier’s process is lawful, and a local licence does not create a private right over common property.
Read management records as continuity evidence
A modern façade can sit above a weak maintenance system. KPKT’s handbook describes charges as funding day-to-day common-property management and the sinking fund as supporting capital work such as renewal, replacement and upgrading. It also identifies insurance and audited accounts as management responsibilities. The practical question is not whether a fund exists. It is whether current collections, arrears, commitments and planned work are credible for the shared assets on which the warehouse depends.
The prescribed by-laws add a tenant-specific warning: restrictions or action against a defaulting proprietor can extend to a lessee, tenant or occupier, and management may accept payment from those persons. Do not treat that as permission to casually pay the landlord’s debt. Make the landlord disclose the current account position, keep it current, notify the tenant of any demand and provide a lawyer-drafted cure and reimbursement mechanism if access or services are threatened. The lease must state who ultimately bears each amount.
- Latest charge and sinking-fund statement for the parcel, plus written confirmation of arrears through the landlord or authorised representative
- Latest available audited accounts, approved budget and material variance explanations
- AGM and EGM minutes, additional by-laws and resolutions affecting access, loading, parking or industrial activity
- Service contracts, inspection records and open defects for ramps, gates, lifts, drainage, shared electrical and fire systems used by the operation
- Current building insurance evidence, material claims and any authority notice affecting common property
- Approved or proposed major works, special levies, procurement status and expected operational disruption
Read the documents together. A low fund balance may be explainable after a completed capital job; a high balance does not prove preventive maintenance. Repeated emergency repairs, expired contracts, unresolved authority notices or minutes that defer the same failure are stronger warning signs than a single number. Where the evidence is incomplete, obtain a technical inspection and a written management response. State the uncertainty in the approval memo instead of converting silence into a clean bill of health.
Convert shared-property gaps into lease conditions
Once the evidence is assembled, build a lease schedule that separates the landlord’s parcel obligations, the management body’s common-property role and the tenant’s operating duties. The lawyer should reconcile that schedule with the head documents, by-laws and any management approval. A landlord cannot promise that a third-party management body will exercise a discretion in a particular way, so any critical approval should be obtained in writing before the lease becomes unconditional or paired with a workable termination right.
- Attach the agreed parcel, accessory-parcel and shared-access plan to the lease
- Define truck route, access windows, loading allocation and evidence required for any exclusive-use claim
- Allocate charges, sinking-fund contributions, special levies and payment evidence between landlord and tenant
- Require prompt notice of management demands, an owner-default cure process and lawyer-approved reimbursement or set-off protection
- Separate parcel repairs from common-property repairs and set escalation, access and business-continuity duties
- List every fit-out and operational approval, the responsible applicant, deadline and consequence of refusal
- Use conditions precedent or an exit mechanism for any shared facility essential to the stated warehouse workflow
Before execution, repeat the physical route with the final equipment plan and compare the result with the written lease schedule. Record turning space, queue tolerance, gradients, clearances, drainage, pedestrian conflicts, fire routes and the point where responsibility changes. Measurements and capacity conclusions should come from qualified professionals where material. The purpose is to stop a legally valid parcel from becoming an operationally stranded warehouse because one shared link was assumed rather than verified.
If a dispute already exists, the KPKT Tribunal FAQ says the Strata Management Tribunal has specified jurisdiction over management duties, charges, documents and by-laws. It also says a tenant or other interested person may need the Tribunal’s permission before filing. That route is a backstop, not a diligence plan. Obtain Malaysian legal advice on standing, forum and remedies rather than using a future claim as the answer to a known access or maintenance gap.
The final decision is not whether the strata unit looks newer or cheaper than a conventional warehouse. It is whether the parcel, shared-property rules, management capability and lease protections form one workable operating system. When all four align, a strata industrial unit can support a disciplined occupier. When one remains unverified, keep the commitment conditional or continue the search through Factory King’s Rent Warehouse service.
