Build a complete Klang Valley warehouse budget covering deposits, stamp duty, SST, utility setup, fit-out, operating charges and end-of-lease reinstatement.

The quoted monthly rent is one line in a warehouse decision. Opening cash, operating cost and exit liability can change which property is cheaper. Build a lease-cost model before signing the letter of offer, and trace every assumption to the draft tenancy, a supplier quotation or an authority response. This is general information only. Use a licensed property lawyer, tax adviser, registered engineers and relevant authorities for property- and taxpayer-specific advice.

Separate signing cash from recoverable deposits

Start with a cash-at-signing schedule, not a vague “deposit” line. Break out advance rent; security deposit; utilities deposit; renovation or damage deposit; access-card, key or management deposits; legal fees; stamp duty; tax; and the first insurance or service-charge payment. For each amount, record the payee, payment date, whether it earns interest, permitted deductions, refund trigger and refund deadline under the proposed agreement.

Do not treat a market convention as a legal rule. The deposit amount, its purpose and the landlord’s right to apply it should be negotiated and written into the lease. Ask whether the landlord can replenish the deposit after a deduction, increase it when rent rises, hold it through a renewal, or combine it with claims for reinstatement. A lower headline deposit can still be poor if the deduction language is open-ended or the return date is undefined.

Utility security is a separate cash requirement. TNB’s Electricity Supply Application Handbook lists connection charge, security deposit and stamp duty among the initial payments for supply. For applications above 100A, TNB’s published process advises an applicant to lodge a sum equivalent to two months’ bill, subject to review, after receiving the deposit notice. TNB’s account FAQ also says an additional deposit may be required when average monthly usage exceeds the deposit held. Obtain the property-specific notice instead of estimating from the previous tenant’s account.

Calculate stamp duty and current service tax from the actual terms

Stamp duty attaches to the written instrument, not to an informal idea of the transaction. LHDN identifies tenancies and statutory leases as instruments creating interests in property that attract ad valorem duty under the Stamp Act 1949. Item 49 of LHDN’s published Stamp Act schedule calculates lease duty by average annual rent and other consideration, the lease term and bands charged for every RM250 or part thereof above the stated threshold. Renewal, premium, service or facility consideration and duplicate instruments can change the treatment, so have the lawyer or tax adviser calculate from the final document rather than a rent-only shortcut.

The filing process also changed. LHDN says its Stamp Duty Self-Assessment System entered phase one on 1 January 2026 for rental/lease, security and general instruments. The duty payer or appointed agent needs a tax identification number, files through MyTax, self-assesses and pays, and retains the instrument and related records for seven years from payment. Put responsibility, information delivery and any late-stamping consequence into the completion checklist.

Check SST separately. Royal Malaysian Customs’ current MySST background page states that rental or leasing services are taxed at 6% effective 1 January 2026. Whether a particular invoice is taxable depends on the supplier’s registration status, the prescribed service, threshold and any applicable exemption or policy. Therefore, ask the landlord to state its SST registration position and whether every quoted rent, service charge, equipment hire and management item is inclusive or exclusive of tax. Have a tax adviser confirm the treatment; do not rely on an old 8% rental example or assume all landlords charge the same way.

Scope fit-out as an approval project, not a rate per square foot

Build the fit-out budget from drawings and a bill of quantities. Typical scope headings—not assumed inclusions—are racking, slab repair or strengthening, dock equipment, partitions, office and welfare areas, electrical distribution, lighting, ventilation, sprinklers, alarms, data, security, signage and process utilities. Add consultant design, surveys, testing, authority submissions, deposits, contractor preliminaries, temporary power, insurance and contingency tied to identified risks.

Approval can control both cost and programme. Section 19 of the Town and Country Planning Act 1976 prohibits development without planning permission except for limited works. The Uniform Building By-Laws reference text covers alteration plans, structural plans and permits, while the enforceable version is the one gazetted by the relevant state. In Shah Alam, for example, MBSA’s August 2025 composite-licence checklist says specified factory partitions and awnings need a temporary construction permit, and certain partitions, sheds and added spaces require an OSC amendment submission. Other Klang Valley PBTs have their own forms and requirements.

Fire and electrical changes require professional coordination. Under the Fire Services Act 1988, BOMBA may require plans and inspects designated premises for adequate firefighting equipment or fire-safety installations. The Energy Commission says persons who carry out, supervise or take responsibility for electrical work and installations must hold the relevant competency. Before approving contractor pricing, have the architect, fire consultant and electrical engineer identify what can remain, what needs approval and what must be tested at handover.

Model the monthly cost of occupation and the cost of delay

Create a monthly ledger beyond base rent: service or estate management charge; security; shared-road and drain maintenance; insurance; assessment or quit-rent reimbursement if the lease passes it through; electricity; water; sewerage; waste; pest control; fire-system and lift maintenance; generator testing; landscaping; telecommunications; and statutory inspection or competent-person costs. Label each line “fixed,” “usage,” “escalating,” “landlord-controlled” or “tenant-procured,” and cite the clause or quotation behind it.

Measure area the same way across competing properties. Record whether rent and service charge apply to land area, gross floor area, lettable area, mezzanine, canopy or yard. If the offer gives only one total, require a measured schedule. Operator inference: a lower rent per quoted square foot is not a saving when a material part of that area cannot hold stock, support racking or be used for lawful operations.

Time has a price too. Include rent paid during fit-out, double rent while relocating, storage, temporary labour, equipment moves, testing, commissioning and production interruption. TNB says supply timing depends on load, site location and local-authority approval and that new or upgraded supply may require a substation. Do not turn that into a promised date. Obtain written feasibility, scope and timing from TNB and your electrical consultant, then make the lease commencement or rent-free mechanism respond to the verified delivery path.

Price reinstatement before installing anything

Read the yield-up and reinstatement clauses alongside the fit-out drawings. Identify whether the tenant must remove all additions or only those selected by the landlord; restore penetrations, slab anchors and roof openings; remove cabling and process services; repair docks and yards; decommission tanks; dispose of waste; repaint; clean; and provide testing or authority closure documents. Record whether rent and service charge continue while that work is performed and how the security deposit interacts with an unresolved dilapidation claim.

Prepare a photographic and measured condition schedule before possession, signed or acknowledged under the agreement. Tie every retained defect, stain, crack, roof leak and damaged fitting to that schedule. For each proposed installation, add a future removal method and budget now. Racking anchors, high-level services, mezzanines and upgraded switchgear are useful on day one but can become demolition, making-good and waste-disposal packages on the last day.

Finally, run at least three cash-flow views: cash required before access; total cash through the committed term; and an exit case including reinstatement and deposit recovery timing. Compare offers on the same assumptions and keep uncertain costs visible instead of burying them in contingency. Have the lawyer convert the agreed allocation into the letter of offer and lease, the tax adviser confirm duty and SST, and registered consultants approve the fit-out and exit scope. The real warehouse cost is the obligation you sign, not the rent printed in the advertisement.
